Company Information: Viridi Energy, LLC (Viridi) is a leading Renewable Natural Gas (RNG) development/operations company focused on creating strong partnerships with biogas source owners, with a focus on landfill and foodwaste operations. Viridi is owned and funded by Warburg Pincus, a leading growth private equity investor. Warburg has committed >$300m of equity capital to Viridi. The Viridi business model is to provide turnkey RNG solutions from thorough source investigation through design, construction, and operations. The Senior Counsel position will report to the CFO. Location: Denver, CO strongly preferred (Dallas, TX an option as well.) Responsibilities:
● Provide legal support and strategic advice with regard to the development, construction and financing of Virid’s RNG project portfolio
● Assist Viridi development effort with permitting, zoning, environmental and local governance issues
● Assist in structuring and negotiating of renewable energy transactions such as gas purchase agreements, supplier contracts, project acquisitions, and financing arrangements
● Lead corporate governance documentation by drafting board resolutions and maintaining appropriate corporate documentation
● Assist finance team with the structure and negotiation of tax equity and debt financing documentation
● Work with business and project development team to negotiate NDAs and other legal documentation in support of development and M&A activities
● Lead Viridi litigation / business dispute legal processes
● Develop and coordinate relationships with external lawyers and maintain a good balance between usage, efficiency, and cost Qualifications:
● Minimum of 4+ years of corporate or transaction legal practice experience. Focus on energy, renewables or real estate preferred
● M&A and financing experience, ideally in the energy, renewables or real estate sector
● Strong knowledge of U.S. federal and state laws and regulations
● Experience with land, permitting and zoning matters
● Familiarity with financing structures and mechanisms for renewable energy projects, such as tax equity financing, project finance, and structured finance Excellent communication, negotiation, and project management skills, with the ability to effectively advise clients and collaborate with interdisciplinary teams
